Share Capital

Share capital is the registered nominal equity represented by issued shares or ownership stakes under a company’s governing law and constitutional documents.

What this term means in practice

Share capital records an ownership commitment, but it is not the same as company cash, market value or total equity. A company may spend contributed cash in its business while the registered capital figure remains, subject to capital-maintenance and accounting rules.

Minimums, payment procedures, classes and amendment requirements depend on legal form and authority. Do not copy a capital figure from another Free Zone or company type. The certificate, memorandum, register and ledger should tell the same ownership story.

01 · WHY IT MATTERS

The operational consequence behind the definition

Capital can affect ownership percentages, voting, distributions, creditor expectations, regulatory approvals, bank onboarding and transaction documents. Changes may require shareholder decisions, valuation, filing and creditor procedures.

A large stated number does not prove substance, solvency or bankability. Conversely, nominal capital alone does not describe shareholder loans, retained earnings or other equity reserves.

FACTS

The investor contributes cash for a minority position at a value above the existing nominal capital per share.

ANALYSIS

Document valuation, shares and premium or other equity treatment, rights, approvals, payment, UBO and authority filings rather than crediting the entire amount blindly to nominal capital.

MISSING FACTS

Legal form, authority, permitted classes, valuation, documents, tax and investor rights determine implementation.

No universal figure applies across all legal forms and authorities. Verify the selected regime.

02Must capital stay in the bank?

Not necessarily after lawful formation; use of funds, solvency and records still matter.

03Can share capital be reduced?

Potentially through prescribed approvals, filings and creditor protections.

04Does higher capital guarantee bank approval?

No. Banks assess ownership, activity, source, substance, transactions and risk.

05Is capital the same as company value?

No. Nominal capital is a legal-accounting amount, not an enterprise valuation.

06What changes when new shares are issued?

Ownership, voting, dilution, UBO, constitutional documents, accounting and tax may all change.
