Subsidiary
A subsidiary is a separately incorporated entity controlled by another person, usually a parent company, while retaining its own legal personality, obligations and records.

What this term means in practice
Control can arise through ownership, voting or other rights under the applicable law and documents. The UAE Commercial Companies Law expressly addresses subsidiaries of holding companies and recognises their independent legal personality and financial liabilities within its scope.
Separate personality does not make group dealings invisible. Funding, services, loans, guarantees, licences, asset transfers and distributions need approvals, agreements, accounting and arm’s-length support. Banks and authorities also look through the chart to beneficial owners and controllers.

The operational consequence behind the definition
A subsidiary can separate operating risk, bring in investors, hold licences or support a local team. It also creates another governance, accounting, tax, renewal, banking and compliance layer.
Groups should compare the benefit of separation with total administration. A second entity without a clear purpose, conduct or evidence may add cost without delivering the intended control or protection.

Similar words can lead to different legal or tax outcomes
Branch
A branch is ordinarily part of the parent; a subsidiary is separately incorporated.
Affiliate
Affiliate is a broader commercial term and may not mean controlled subsidiary under the relevant law.
Tax Group
A Corporate Tax Group is an elective tax treatment with conditions; it does not merge the legal entities.

A UAE parent opens a separate trading operation
The group wants the new company to contract with suppliers, hold inventory and employ its own team.
A subsidiary may separate the trading operation, but capital, licence, governance, guarantees, TP, tax, VAT, banking and reporting should be designed as one operating model.
Ownership, activity, financing, inventory location, contracts, guarantees, tax periods and investor plans change the structure.

Yes. Actual services, benefit, pricing, agreements and evidence may be relevant under transfer-pricing and deduction rules.
