Branch
A branch is a registered presence through which an existing company conducts approved activity in another jurisdiction, commonly without creating a separate legal person from its parent.

What this term means in practice
A branch extends the parent’s business into the licensed jurisdiction. The parent remains the underlying company, while the branch receives local registration, a licence and authorised management. Exact liability, agent, office, filing and activity rules depend on the governing authority and sector.
Company-law branch status is different from a Permanent Establishment. A business can have a tax PE without a registered branch, or register a branch whose tax analysis still requires residence, treaty, activity and attribution review.

The operational consequence behind the definition
A branch can preserve a single legal entity and operating history, but that simplicity can expose the parent directly and complicate accounts, profit attribution, banking and cross-border compliance.
The decision should compare branch and subsidiary using contracts, licences, customer expectations, regulatory permissions, liability, tax, repatriation, people and exit—not formation cost alone.

Subsidiary
A subsidiary is a separately incorporated controlled company; a branch ordinarily remains part of its parent.
Permanent Establishment
PE is a tax nexus based on facts and law, not merely a registration label.
Representative office
A limited office may have narrower permitted activities; the authority’s licence controls.
04 · PRACTICAL EXAMPLE
A foreign engineering company takes a UAE project
The parent will sign the main contract, deploy staff and maintain a project office in the UAE.
A branch may align with the contract, but licensing, project approvals, parent exposure, PE, profit attribution, payroll, VAT, records and banking must be reviewed together.
Project duration, treaty, authority, regulated activity, contract, people, premises and payment flows change the answer.
