Board Resolution
A board resolution is a formally recorded decision of a company’s board or equivalent governing body, adopted within its legal authority and the entity’s constitutional documents.

What this term means in practice
A resolution is evidence that the correct decision-maker considered and approved a matter. It may be adopted at a properly convened meeting or through a written procedure where the applicable law and documents permit. The company’s legal form, articles, quorum, voting and conflict rules determine validity.
The document should identify the entity, decision, date, authority, participants, conflicts, vote and any delegated action. It should match what actually happened. A signed paper created after the event cannot safely repair an unauthorised transaction or false governance history.

The operational consequence behind the definition
Banks, authorities, auditors and counterparties may require resolutions for managers, signatories, accounts, borrowing, share transfers, distributions, capital changes, liquidation or major contracts. The correct approving body differs by matter.
A resolution does not replace a contract, licence amendment, shareholder approval, register update or regulatory consent. It is one link in the evidence chain.

Minutes record the meeting; a resolution states the formal decision, often within or attached to them.
Shareholder resolution
Owners decide reserved matters; the board cannot assume powers allocated elsewhere.
Power of attorney
A POA grants authority to an agent and has separate form, scope and authentication issues.

Management wants two new signatories and a dual-approval limit for payments.
Confirm which governing body has authority, adopt a properly documented resolution, align the signing matrix and submit the bank’s separate mandate and KYC package.
