Director

A director is a person formally appointed to participate in a company's governance and decision-making under its applicable law and constitutional documents; the title does not alone prove where management occurs or who controls the business.

What this term means in practice

Director powers and duties depend on the legal form, jurisdiction, articles, board rules and appointment. Some UAE entities use managers or councillors instead of, or alongside, directors. Always use the exact governing documents rather than importing a generic board model.

A director can influence tax residence, Permanent Establishment, banking, contracts, conflicts and related-party analysis through actual authority and conduct. A nominal appointment or signature service does not transfer genuine strategic decision-making.

A clear board and delegation framework shows which decisions belong to shareholders, directors, executives and authorised signatories. It supports approvals, conflicts, evidence and continuity when ownership or management changes.

Cross-border groups must record where directors receive information, deliberate and decide. Meeting location is one fact; preparation, authority, executive influence, contracts, banking and implementation also matter.

01Can a shareholder also be a director?

Often, subject to the legal form and authority rules, but ownership and governance actions should still be documented in the correct capacity.

02Does a UAE-resident director make a company UAE tax resident?

Not by title alone. Incorporation and effective management rules, foreign domestic law, actual decisions and any treaty must be reviewed.

03Are physical UAE board meetings always required?

Do not generalise. The governing law, articles and facts control. For tax and evidence, genuine authority and conduct matter more than meeting theatre.

04Can directors delegate decisions?

Potentially, within applicable law and documents. Material reserved matters, oversight, limits and reporting should remain clear.

05Are director payments related-party matters?

They can engage Connected Person, arm's-length, business-purpose, approval, payroll, VAT or foreign rules depending on facts.
