Ultimate Beneficial Owner (UBO)

An Ultimate Beneficial Owner is the natural person who ultimately owns or controls a legal person or arrangement, directly or through a chain, or on whose behalf a transaction is conducted under the applicable rules.

What this term means in practice

UBO analysis looks through registered shareholders, nominees and intermediate entities to the natural persons at the end of ownership or control. UAE Cabinet Resolution No. 109 of 2023 uses ownership, voting, appointment and other-control tests, with a senior-management fallback after all reasonable means are exhausted.

The federal UBO resolution excludes financial free zones from its scope, which have their own frameworks. Banks and regulated businesses also apply risk-based Beneficial Owner identification under current AML rules. One register or threshold should not be copied into every context.

01 · WHY IT MATTERS

The operational consequence behind the definition

Authorities, banks and professional providers use UBO information for licensing, registers, KYC, sanctions, tax and law-enforcement purposes. Inconsistent charts, percentages, nominee roles or source information can delay transactions and damage the credibility of the complete profile.

A UBO is not necessarily the same person as the direct shareholder, director, authorised signatory or economic beneficiary of one payment. Each role should be documented separately and kept current.

FACTS

The UAE licence names a foreign parent, which is owned by another company and a family investment arrangement.

ANALYSIS

Trace the chain to natural persons, calculate interests, examine voting and appointment rights, identify nominees and reconcile the authority, bank and tax charts.

MISSING FACTS

Registry evidence, agreements, family arrangement, control rights, jurisdictions and any financial-free-zone rules determine the required record.

Questions that change the analysis

01Is the direct shareholder always the UBO?

No. The chain must be traced to the natural person or persons who ultimately own or control it.

02Is 25% the only test?

No. Cabinet Resolution No. 109 includes control through other means and a fallback after reasonable tracing. Financial free zones apply their own regimes.

03Can there be more than one UBO?

Yes. Multiple natural persons can satisfy ownership or control tests.

04Is a nominee shareholder the UBO?

Not merely because shares are held in nominee capacity. The nominator and natural persons exercising ultimate ownership or control must be identified under the applicable rules.

05Do banks use the same process as company registrars?

They apply AML customer-due-diligence rules and their risk-based procedures. Information should reconcile, but requests and evidence can differ.

06When should UBO information be updated?

Whenever ownership, control, nominee, identity or required particulars change, following the current registrar or regulated-entity process.
