Shareholder
A shareholder is a person recorded as holding shares or an ownership interest in a company, with rights and obligations determined by the applicable law, legal form, constitutional documents and any valid shareholder agreement.

What this term means in practice
Share ownership can carry voting, profit, information, transfer and liquidation rights, but the exact bundle depends on class, percentage and documents. A shareholder is not automatically entitled to company cash, daily management authority, a visa, bank access or every company record.
The registered shareholder may be a corporate entity or nominee, while UBO rules look through the chain to natural persons who ultimately own or control it. Authorities and banks require the legal and beneficial ownership stories to reconcile.

The operational consequence behind the definition
Ownership design affects control, funding, minority protection, distributions, deadlock, succession and exit. Informal family or founder understandings should not substitute for articles, resolutions and agreements that match the legal form.
Shareholder residence and connected transactions can affect foreign reporting, CFC rules, dividends, capital gains, tax residence, transfer pricing and banking. Nationality alone does not decide company tax.

Similar words can lead to different legal or tax outcomes
UBO
The UBO is the natural person ultimately owning or controlling through the chain; a direct shareholder may be an entity.
Director
The director governs the company. A shareholder acts through ownership rights unless separately appointed.
Beneficiary
A beneficiary receives rights under a trust or foundation arrangement and may not be the registered shareholder.

Two founders and an overseas investor
Founders will operate a UAE company while a foreign investor funds growth and requests veto and exit rights.
Align share class, voting, board, reserved matters, funding, information, transfer, deadlock, UBO, tax, bank and regulator requirements before issuing shares.
Activity, legal form, valuations, investor country, rights, funding instruments, future rounds and authority approvals change the structure.

01Can a foreign person be a UAE company shareholder?+
Many structures permit foreign ownership, but activity, authority, legal form, regulated or strategic-impact rules and approvals must be confirmed.
02Does a shareholder own company assets directly?+
No. The company normally owns its assets as a separate legal person. The shareholder owns shares and associated rights.
03Can a shareholder withdraw company money?+
Not freely. Salary, dividends, reimbursements, loan repayments and shareholder loans have different legal, accounting, tax and approval requirements.
04Is every shareholder a UBO?+
No. Corporate or nominee shareholders may not be the ultimate natural-person owner or controller.
05Does share ownership guarantee a residence visa?+
No. Immigration eligibility and approval depend on the entity, route, applicant and current authority process.
06What happens on death or incapacity?+
Articles, agreements, wills, foundations or trusts, applicable succession law, probate, authority and bank requirements determine continuity and transfer.
