Special Purpose Vehicle (SPV)

A Special Purpose Vehicle is a legally separate entity formed for a defined, limited purpose, commonly to hold a specific asset, investment, financing or project risk rather than conduct a broad operating business.

What this term means in practice

SPV describes an entity's purpose and restrictions, not one universal UAE legal form. The competent jurisdiction defines the available company type, permitted scope, constitutional limits, registered-office or service-provider requirements and filings. ADGM, for example, describes its SPVs as passive holding vehicles and requires an appropriate regional nexus.

An SPV can isolate a transaction or asset on paper only when ownership, contracts, accounts, governance and liabilities are genuinely separate. It does not eliminate parent guarantees, director duties, tax, UBO, AML, banking, insolvency or foreign-law exposure.

The operational consequence behind the definition

A focused vehicle can clarify ownership, investor rights, financing and exit for one asset or project. It can also add avoidable cost, duplicated filings and banking complexity when the underlying purpose does not need a separate entity.

The decision should start with asset, liability and transaction maps. Confirm whether the vehicle can lawfully perform the intended activity and whether an operating subsidiary, holding company, fund, foundation or direct investment is more appropriate.

01Is SPV a single UAE company type?

No. The term describes purpose. Each jurisdiction supplies its own legal form, activity scope and ongoing requirements.

02Can an ADGM SPV trade or employ staff?

ADGM's official SPV page describes the regime as passive and states SPVs cannot conduct operational business or hire staff. The live authority rules control.

03Does an SPV protect every asset?

No. Separate personality can support ring-fencing, but guarantees, security, commingling, insolvency, governance failures and foreign enforcement can alter exposure.

04Does an SPV automatically obtain a bank account?

No. Banks independently assess purpose, ownership, source, asset, counterparties, jurisdictions, governance and expected transactions.

05Is an SPV tax-free?

No. Corporate Tax, residence, income, transfer pricing, VAT and foreign rules depend on the entity and facts.

06When is an SPV unnecessary?

When one existing entity can hold the asset without material risk, investor, financing or exit conflict, a new vehicle may add administration without proportional benefit.
