UAE Mainland Company

A UAE mainland company is licensed by the competent emirate-level economic authority under the applicable company and licensing framework; the label does not itself decide tax, activity scope or banking.

IN PLAIN ENGLISH

What this term means in practice

Mainland describes the licensing jurisdiction outside a Free Zone, not one single company type. The correct legal form, authority, activity and approvals depend on the emirate and business model. A mainland licence can support direct UAE operations, but the precise permissions come from the licensed activity and applicable sector rules.

Ownership rules have changed substantially, yet sector-specific restrictions and approvals can remain. A founder should verify the current activity and legal form rather than rely on a broad claim that every mainland business permits the same ownership or operating model.

01 · WHY IT MATTERS

The operational consequence behind the definition

Mainland may fit companies with physical UAE operations, local projects, retail premises, regulated activities or a team serving the domestic market. It can also add office, authority, labour or compliance dependencies that should be priced across the full operating period.

For tax, mainland is not a separate tax residence category or an automatic 9% outcome. Corporate Tax begins with the Taxable Person and Taxable Income, while VAT follows transactions.

02 · KEY ELEMENTS

The points that must be tested

01

Competent authority

The emirate’s economic authority issues the licence, alongside any sector regulator or external approval.

02

Legal form

LLCs, branches and other forms have different ownership, governance, liability and documentation.

03

Licensed activity

The activity description defines permitted operations and may trigger professional or sector approvals.

04

Premises and people

Office, establishment, labour and immigration requirements depend on the entity and operational model.

05

Corporate Tax and VAT

Federal tax obligations apply through their own tests; the licence label does not calculate either tax.

06

Ongoing administration

Renewals, UBO records, accounts, tax, contracts and authority updates continue after incorporation.

03 · DO NOT CONFUSE

Similar words can lead to different legal or tax outcomes

NOT THE SAME AS

Unlimited activity

A mainland licence does not permit every activity. The approved activity and regulatory rules still control.

NOT THE SAME AS

Tax residence

A UAE-incorporated company is generally a Resident Person for Corporate Tax, but foreign residence claims can arise from real management abroad.

NOT THE SAME AS

Branch

A branch is not automatically the same legal and liability structure as a locally incorporated subsidiary.

04 · PRACTICAL EXAMPLE

A services company with UAE staff and local contracts

FACTS

The business will hire a UAE delivery team, lease premises and contract directly with government-linked and private UAE customers.

ANALYSIS

A mainland route may align with the physical operating model, but activity approvals, legal form, ownership, office, labour, tax and banking should be mapped before incorporation.

MISSING FACTS

The emirate, exact service, regulated status, tender rules, staffing, customer contract and group ownership determine the final route.

Illustrative only. This is not a client result, legal conclusion or automatic tax treatment.

05 · FREQUENTLY ASKED QUESTIONS

Questions that change the analysis

01Does mainland always cost more than a Free Zone?

No universal comparison is reliable. Include office, visas, approvals, renewals, compliance and operational constraints.

02Can a foreign founder own a mainland company?

Many activities permit foreign ownership, but the exact activity, sector and current rules must be verified.

03Does mainland guarantee access to every UAE contract?

No. Activity, procurement, sector, premises and customer requirements still apply.

04Is a mainland company automatically easier to bank?

No. Banks assess UBOs, activity, substance, source evidence and expected transactions case by case.

05When is mainland often worth reviewing?

Review it where physical UAE operations, staff, regulated activity, premises or direct domestic delivery are central to the model.
