UAE GLOSSARY

UAE Free Zone

A UAE Free Zone is a defined jurisdiction with its own licensing authority and rules; it does not by itself determine Corporate Tax, VAT, banking approval or unrestricted market access.

IN PLAIN ENGLISH

What this term means in practice

A Free Zone is primarily a licensing and corporate jurisdiction. The authority defines available legal forms, activities, premises, visa processes, renewals and operating conditions. Different Free Zones serve different sectors and use different rules, so a statement about one authority should not be applied to every UAE Free Zone.

For tax, separate three labels. A company registered in a Free Zone may be a Free Zone Person under the Corporate Tax Law. It becomes a Qualifying Free Zone Person only if every current statutory condition is met. Its particular income must then be classified under the Qualifying Income rules.

01 · WHY IT MATTERS

The operational consequence behind the definition

The practical choice affects customers, office and substance, regulated approvals, visas, customs, contracting and banking readiness. Selecting the lowest incorporation quote can create recurring costs or market-access constraints that were not included in the comparison.

Free Zone status is frequently confused with a blanket 0% tax outcome. Corporate Tax, VAT and foreign-country exposure must be analysed independently from the licence jurisdiction.

02 · KEY ELEMENTS

The points that must be tested

01

Licensing authority

The selected Free Zone controls the licence, legal form, permitted activity and ongoing authority filings.

02

Activity and approvals

Commercial, professional, industrial and regulated activities use authority-specific classifications and external approvals.

03

Market access

The way the entity supplies or operates in the UAE market depends on activity, customer, premises and relevant commercial rules.

04

Office and visas

Facility requirements and visa capacity vary by authority, licence and operational model.

05

Free Zone Person

This is a Corporate Tax classification for a juridical person registered in a Free Zone, not a promise of preferential tax.

06

Banking and evidence

Banks assess the complete ownership, activity, substance, counterparties and transaction profile, not the Free Zone name alone.

03 · DO NOT CONFUSE

Similar words can lead to different legal or tax outcomes

NOT THE SAME AS

QFZP

A QFZP is a Free Zone Person satisfying specific Corporate Tax conditions. The terms are not interchangeable.

NOT THE SAME AS

Designated Zone

This is a limited VAT concept for specified goods transactions, not a universal tax-free area.

NOT THE SAME AS

Mainland company

Mainland and Free Zone are licensing choices. Neither label alone determines tax residence, bankability or business quality.

04 · PRACTICAL EXAMPLE

An international advisory business choosing a jurisdiction

FACTS

The founder expects overseas clients, two UAE employees, occasional UAE customers and a residence visa.

ANALYSIS

A Free Zone may be a workable fit, but the authority, activity, office, UAE customer model, QFZP income, VAT, banking and future hiring must be assessed together.

MISSING FACTS

Client contracts, delivery location, regulated status, headcount, premises, revenue streams and expansion plan can change the recommendation.

Illustrative only. This is not a client result, legal conclusion or automatic tax treatment.

Free Zone: practical distinctions
ConceptOperational meaningDo not assume
Free Zone licenceAuthority permission for stated activities and legal form.It does not guarantee tax treatment or banking.
Free Zone PersonCorporate Tax status arising from registration in a Free Zone.It is not automatically a QFZP.
QFZPConditional status with income and compliance tests. It does not make every income stream subject to 0%.

05 · FREQUENTLY ASKED QUESTIONS

Questions that change the analysis

01Does a Free Zone company pay no Corporate Tax?

Not automatically. QFZP status and Qualifying Income require a separate current-law analysis.

02Can a Free Zone company serve mainland customers?

The answer depends on the activity, transaction model, authority and commercial rules. It is not a universal prohibition or permission.

03Is every Free Zone the same?

No. Legal forms, activities, facilities, visas, approvals, costs and administration vary by authority.

04Is banking easier in a particular Free Zone?

No authority can guarantee account approval. Banks assess the full risk and operating profile.

05What should be compared before formation?

Compare customers, activities, regulation, office, visas, customs, tax, banking, recurring cost and expansion—not only formation price.
