UAE Corporate Tax

UAE Corporate Tax is a federal direct tax applied to the Taxable Income of Taxable Persons under the Corporate Tax Law, after accounting profit is adjusted for the law’s specific rules.

What this term means in practice

Corporate Tax asks how much taxable business profit a person has for a Tax Period. Financial statements normally provide the starting number, but that number is adjusted for exempt income, non-deductible costs, reliefs, losses, transfer pricing and other provisions. The result is not calculated from bank receipts, invoice totals or the wording on a trade licence.

The regime is based on self-assessment. A business must identify its status, keep supportable records, register where required, prepare a return and pay any amount due. Registration and liability are separate questions: an entity may need to register and file even when its final payable amount is nil.

01 · WHY IT MATTERS

The operational consequence behind the definition

Corporate Tax affects entity choice, accounting, contracts, owner payments, related-party arrangements and the timing of transactions. A Free Zone entity is not outside the regime, and a foreign entity can enter it through residence, a Permanent Establishment or another statutory nexus.

Operationally, the most important control is a reliable bridge from the trial balance to the tax computation. Without that bridge, headline rates say little about the actual return, evidence or exposure.

Identify the legal or natural person, residence status, exemptions and whether a Free Zone or non-resident rule applies.

Determine the relevant financial period before applying registration, accounting, election and filing rules.

Start from financial statements prepared using the applicable accounting framework, then document every tax adjustment.

Taxable Income

Apply exemptions, reliefs, deductions, related-party rules, losses and credits to reach the statutory amount.

Registration and return

Registration creates an administrative profile; the return reports the period’s position. Neither is replaced by VAT registration.

Records and judgement

Keep calculations, elections, agreements and evidence capable of explaining the filed treatment to the FTA.

VAT is normally a transaction-based indirect tax. Corporate Tax is a direct tax on taxable business income.

Personal tax residence

A person’s domestic or treaty residence is a different question from whether a company has Corporate Tax obligations.

A licence renewal or authority charge is not Corporate Tax and does not settle the federal tax calculation.

A Free Zone consultancy with international clients

FACTS

A UAE Free Zone company earns service revenue, pays its founder, uses overseas contractors and has not mapped related-party transactions.

ANALYSIS

The company is a Taxable Person. Its accounting profit, QFZP conditions, income classification, owner remuneration, contractor evidence and transfer-pricing position must be reviewed separately before the return is prepared.

MISSING FACTS

The licence, contracts, customer locations, delivery model, substance, financial statements and related-party register determine the real analysis.

Questions that change the analysis

01Is every UAE company automatically subject to 9%?

No. Person type, Taxable Income, exemptions, reliefs, Free Zone conditions and other rules determine the result. The headline rate cannot be applied before that analysis.

02Does a Free Zone licence mean no Corporate Tax?

No. A Free Zone Person remains within the regime. QFZP treatment depends on current conditions and applies only to defined Qualifying Income.

03Is VAT registration enough for Corporate Tax?

No. VAT and Corporate Tax use different registrations, returns, tax bases and rules.

04Can accounts alone determine the return?

They provide the starting point. Statutory adjustments, elections, reliefs, related parties and evidence must also be reviewed.

05When is a case-specific review needed?

It is needed where residence, Free Zone status, exemptions, cross-border activity, related parties, unusual costs, restructuring or incomplete records affect the computation.
