Free Zone Establishment (FZE)

Free Zone Establishment is a legal-form label used by certain UAE Free Zone authorities, commonly for a single-shareholder entity; the relevant authority’s current rules define it.

What this term means in practice

FZE is not one federal form with identical rules across the UAE. The official UAE setup portal lists it among forms that a Free Zone may offer and warns that not every authority registers every form. Shareholder eligibility, governance, capital, office, activity and continuation therefore require authority-specific confirmation.

An FZE should not be confused with a sole establishment. Where the authority incorporates it as a separate company, its rights and liabilities follow that regime and its documents. The label alone does not prove limited liability, visa eligibility, local-market permission, banking readiness or any tax outcome.

The operational consequence behind the definition

Choosing FZE affects the incorporation pack, ownership structure, governance, later admission of another investor and possible conversion. A founder expecting co-investment should understand the authority’s change process before selecting a one-owner form.

For Corporate Tax, a juridical person registered in a Free Zone may be a Free Zone Person. QFZP status and Qualifying Income remain separate conditional tests; FZE never means automatic 0%.

That is a common usage, but the selected authority’s current definition and shareholder rules control.

The authority may require conversion, amendment or another process; verify before choosing the form.

04Does FZE guarantee a residence visa?

No. Immigration eligibility and capacity depend on the licence, facility, authority and current process.

05Does FZE mean 0% Corporate Tax?

No. Free Zone Person and QFZP analyses are separate.

06What evidence matters for banking?
