UAE Corporate Tax on Real Estate Income: Guide

UAE Corporate Tax on real estate income decision guide

UAE Corporate Tax on real estate income depends first on who owns the property and how the activity is carried on. A natural person’s rent or sale proceeds can be outside Corporate Tax when the activity qualifies as Real Estate Investment and is not conducted, or required to be conducted, through a Licence. A UAE company is a separate taxable person, while a foreign company can have a UAE tax nexus from UAE immovable property. The title deed alone is therefore not enough to decide the answer.

Start with the owner, not the building

The same apartment can produce three different Corporate Tax outcomes. An individual may hold it as an unlicensed investment. A UAE limited liability company may own and lease it as part of its business. A foreign company may own it and create a UAE nexus through the property. The residential or commercial label matters for other rules, but it does not replace the first question: who is the legal and beneficial owner earning the income?

Federal Decree-Law No. 47 of 2022 is binding law. Cabinet Decisions specify important parts of its application. Federal Tax Authority (FTA) guides explain the authority’s interpretation and give examples, but they are guidance rather than legislation. For the wider regime, read the UAE Corporate Tax Guide.

The four-owner decision framework

1. Natural person without a required Licence

Cabinet Decision No. 49 of 2023 defines Real Estate Investment for a natural person as activity related directly or indirectly to selling, leasing, sub-leasing or renting land or real estate property, provided the activity is not conducted, and is not required to be conducted, through a Licence issued by a Licensing Authority.

When those conditions are met, the income is not treated as income from a Business or Business Activity for Corporate Tax. It is excluded regardless of amount and is not counted towards the AED 1 million Turnover test that applies to a natural person’s UAE Businesses or Business Activities.

This is narrower than saying “individual rental income is always tax-free”. The activity must fit the listed property-investment activities, and the Licence condition must be checked against the actual emirate, property use and operating model.

2. Natural person carrying on a licensed property activity

If the natural person carries on, or is required to carry on, the activity through a Licence, the Real Estate Investment exclusion does not apply to that activity. Holiday-home operations illustrate the difference: licensing, guest services and active operation can produce a different result from a conventional residential lease.

The income then enters the natural person’s Business Turnover analysis. Decision No. 49 makes a natural person subject to Corporate Tax on UAE Businesses or Business Activities when their combined Turnover exceeds AED 1 million in a Gregorian calendar year. The threshold tests gross Business income, not profit. Qualifying excluded property-investment income is left out, but licensed property-business income is not.

Having an agent does not automatically change the answer. FTA Guide CTGREI1 explains that a natural person can appoint a licensed property manager to advertise, collect rent and deal with tenants while the owner’s own unlicensed letting remains Real Estate Investment. The distinction is between an agent acting for the owner and the owner carrying on a licensed business.

3. UAE company owning the property

A UAE company is a separate Person from its shareholder. Property in the company’s name and leased by the company produces income in that company’s accounts. It does not inherit the natural-person exclusion merely because one individual owns all its shares.

The company applies the ordinary Corporate Tax rules to its net taxable result. Rent, disposal gains, depreciation or fair-value accounting, finance costs, service charges and other expenditure must be mapped from the financial statements to the tax computation. Deductions are not automatic: the expense must meet the Corporate Tax conditions, and other rules can restrict interest, Related Party payments or non-business costs.

The standard rates apply to Taxable Income, not gross rent: 0% on the portion up to AED 375,000 and 9% on the portion above it, unless another regime or valid relief applies. A Free Zone licence does not make property income automatically eligible for 0%. Qualifying Free Zone Person rules and immovable property need a separate current review. See the Corporate Tax Free Zone guide.

4. Foreign company owning UAE immovable property

Cabinet Decision No. 35 of 2025 is the current nexus rule for Tax Periods starting on or after 1 January 2025. A juridical person formed under foreign law has UAE nexus when it derives income from UAE immovable property. The Decision covers income from a right in rem, sale, disposal, assignment, direct use, letting, subletting and other exploitation.

A foreign company with that nexus must register for UAE Corporate Tax. Decision No. 56 of 2023 was repealed for these periods and remains relevant only to periods that started before 1 January 2025. Registration, records, deductible costs, the Tax Period and treaty or foreign-tax questions then depend on the facts.

What counts as Real Estate Investment for an individual?

The FTA guide treats the core list as exhaustive: sale, lease, sub-lease and rent, together with activity directly or indirectly related to them. Income should arise from using the property itself rather than providing a separate service. Development, brokerage, hotel operation and property-management fees can require a different analysis.

Using an intermediary can still qualify. What matters is the relationship: does the manager act as agent while rent remains the owner’s income, or does another company lease the property in its own right and earn subletting income? Contracts, title, tenancy records, bank receipts and accounts should tell the same story.

Three practical examples

Personally owned long-term apartment

An individual owns a Dubai apartment and grants a conventional annual tenancy. A licensed agent finds the tenant and collects rent for the owner. The individual does not hold and is not required to hold a Licence for the letting.

On those assumptions, the rent can qualify as excluded Real Estate Investment income. It is not counted towards the individual’s AED 1 million Business Turnover test. The agent’s Licence does not itself turn the owner’s investment into a licensed business. The conclusion changes if local rules require the owner’s activity to be licensed or if the contracts and conduct show a different business.

Licensed holiday-home operation

An individual operates furnished units as holiday homes under the required Licence and provides the operating package attached to that activity. Gross receipts for the calendar year are AED 1.3 million.

The Licence condition prevents those receipts from being excluded on the stated facts. They enter the natural person’s Business Turnover test, which is exceeded in this example. The next calculation is Taxable Income after accounting and deduction rules; Corporate Tax is not simply 9% of the AED 1.3 million receipts.

Commercial building held by a UAE company

A UAE company owns a commercial building and is the landlord under the leases. It records rent and property costs in its financial statements. The sole shareholder is an individual.

The company is the taxable person for that rental business. The natural-person exclusion does not move through the shareholding. The company must reconcile rent, incentives, deposits, service charges, finance costs, capital expenditure and disposal to the applicable accounting and tax rules. A later dividend is a separate transaction.

Excluded income also excludes the related costs

A natural person cannot place qualifying property income outside Corporate Tax while using associated expenses to reduce taxable profit from another business. CTGREI1 states that expenditure relating to excluded Real Estate Investment is not deductible, and a loss from that excluded activity does not create Corporate Tax relief.

Where the same person has both excluded lettings and a taxable licensed activity, shared costs need a supportable allocation. Keep separate income schedules, property-level expenses, contracts and bank trails. The allocation should reflect use and facts, not whichever split produces the lowest tax.

Related parties and ownership structures

Leases between an owner and a connected company, management fees to a Related Party, and group transfers need arm’s-length support. Article 34 applies the arm’s-length principle, and the FTA guide specifically identifies Related Party leases and property-management agreements.

Do not insert a company, foundation or other vehicle solely because a diagram suggests a lower rate. Ownership, control, financing, succession, liability, licensing, VAT and foreign-tax consequences may matter more. The general anti-abuse rule can counteract arrangements lacking commercial substance or economic reality when obtaining an inconsistent Corporate Tax advantage is a main purpose.

If deciding whether to buy personally or through an entity, use the related own property through a company framework.

Property-income Corporate Tax checklist

  1. Identify the income owner. Match title, purchase agreement, lease, bank receipts and accounts.
  2. Classify the person. Natural person, UAE company, foreign company, partnership or another vehicle.
  3. Describe the activity. Sale, long-term lease, sub-lease, holiday home, development, brokerage or management.
  4. Confirm licensing. Record every Licence and ask the competent authority whether the owner’s activity requires one.
  5. Separate agent from principal. Determine who contracts, bears risk and earns rent or fees.
  6. Apply the correct tax gate. Natural-person exclusion, company rules or foreign-company nexus.
  7. Map the Tax Period. Use the rule for that period, especially around 1 January 2025.
  8. Reconcile the accounting. Tie leases, rent, deposits, costs, assets and disposals to the ledger.
  9. Test Related Party terms. Preserve pricing evidence and commercial rationale.
  10. Review other regimes separately. VAT, transfer charges, licensing and foreign tax are separate.

Documents to keep

  • title deed, acquisition documents and beneficial-owner evidence;
  • Licences, permits and authority correspondence;
  • tenancy, sublease, holiday-home or management agreements;
  • agent appointment and evidence of whose income is collected;
  • property-level rent roll, bank receipts and tenant statements;
  • service-charge, finance, repair and capital-expenditure schedules;
  • financial statements, ledger and tax computation;
  • Related Party agreements and arm’s-length support; and
  • an owner-and-activity analysis for each Tax Period.

Frequently asked questions

Is personal rental income always outside UAE Corporate Tax?

No. The exclusion applies only when the activity fits the defined property activities and is not conducted, or required to be conducted, through a Licence.

Does the AED 1 million threshold apply to a property company?

No. It applies to a natural person’s UAE Business Turnover. A juridical person follows company rules.

Does hiring a licensed property manager make an individual’s rent taxable?

Not by itself. FTA guidance accepts that an agent can collect rent while the owner’s activity remains unlicensed. Contracts and conduct must support agency.

Is a foreign company taxed if it owns UAE property?

A foreign juridical person deriving income from UAE immovable property has UAE nexus under Decision No. 35 of 2025 for current periods and must register. The taxable amount depends on its facts.

Does a Free Zone company receive 0% on rental income?

Not automatically. Status, property, counterparties and current excluded-activity rules must all be tested.

Does this answer settle VAT?

No. VAT, transfer charges, municipal fees, licensing and foreign taxes are separate questions.
