UAE FOUNDATION QUESTIONS

Foundation FAQ

A UAE foundation is a separate legal person under its governing regime, normally administered through a Council under a Charter and By-laws. It can support ownership continuity and family governance, but it is not automatically a trust, operating company, tax exemption, anonymous vehicle or guaranteed asset-protection solution. DIFC, ADGM and RAK ICC rules must be checked separately.

SECTION 02

What should you know about roles and governance?

Governance design determines whether the structure can work after incapacity, disagreement or death.

06What does the Founder do?

The Founder establishes the foundation and contributes property. Any reserved powers must be permitted and documented; informal control outside the documents can undermine governance and foreign analysis.

Facts that change the answer: regime, Charter, By-laws, reserved powers, succession, capacity, tax residence and actual conduct.

Application note: Confirm the governing foundation regime, documents, roles, asset title, family residence, tax classification and every relevant foreign law before establishing or funding the structure.

Evidence file: For the decision file, retain the source documents, calculations, authority correspondence, approvals and accounting entries that support the position. The written explanation and actual conduct should remain consistent.

07What is the Foundation Council?

The Council administers the foundation and its assets under the law and governing documents. Councillors require clear appointment, decision, conflict, removal and succession rules.

Facts that change the answer: number and eligibility of Councillors, duties, authority matrix, voting, conflicts, incapacity and replacements.

10Can the Founder retain control?

Certain reserved powers may be permitted, but unlimited informal control can affect governance, tax, creditor and foreign-recognition analysis. Control, oversight and benefit should be separated deliberately.
